Acceptance

Happy Selling, a product of Simple Business Management which is a limited liability company under the laws of Oman with its offices at Al Khuwair, Muscat, Oman, and their affiliates and / or branches (hereinafter together "Happy Selling") provide a collection of online resources which include classified advertisements and forums (collectively, the "Service") on the website thehappyselling.com, related sites and the mobile applications of the platform (collectively, the "Website").

The Website and the Service are provided to you subject to following Happy Selling Terms of Use. By accessing, browsing, or using the Website or Service, you agree to comply with these Terms. These Terms may be updated by Happy Selling at any time at its sole discretion. Happy Selling may provide a translation of the English version of the Terms into other languages.

Description of Service & Content Policy

1. Happy Selling is the next generation of free online classifieds.
2. We act as an online marketplace platform to allow users to offer, sell, and buy products and services listed on the Website.
3. Happy Selling is not in any way involved in such transactions.
4. Happy Selling does not control, and is not responsible for ads, directory information, business listings/information, messages between users, including without limitation e-mails sent from outside Happy Selling's domain.
5. Happy Selling has the right, in its sole and absolute discretion, to refuse, delete or move any Content that is or may be available through the Service.
6. Happy selling does not pre-screen or approve any Content.
7. The Website and Content may contain links to other third-party websites, which are completely unrelated to Happy Selling.
8. You are solely responsible for all Content that you upload, email, or otherwise make available via the Service.
9. Happy Selling has the right to use any copyright you assign to Happy Selling.
10. Featured & Urgent Ads

Happy Selling may offer services known as "Featured Ads" & “Urgent Ads” where Users may pay a non-refundable fee to have their ads posted in selected locations on the Website. To purchase a Featured Ad and/or Urgent Ads, you may be required to transmit certain information through a third-party service provider.

Paid Postings

Happy Selling may charge a fee to post Content in some areas of the Service. Fees are non-refundable. Additional terms regarding paid Content will be fully stated in the applicable section.

Posting Agents

Happy Selling prohibits the use of Posting Agents, directly or indirectly, without the express written permission of Happy Selling. "Posting Agents" are not permitted to post Content on behalf of others. 

Conduct

You agree not to post, email, host, display, upload, modify, publish, transmit, update, or share any information on the Website and on mobile applications, or otherwise make available Content:

Violates any law or regulation

1. infringes any of the foregoing intellectual property rights of any party.
2. Is harmful, abusive, unlawful, threatening, harassing, blasphemous, defamatory, obscene, pornographic, pedophilic, libelous, invasive of another's privacy or other rights.
3. harasses, degrades, intimidates or is hateful towards any individual or group of individuals based on religion, gender, sexual orientation, race, ethnicity, age, or disability.
4. That constitutes or contains "network marketing", "multi-level marketing," "Ponzi and pyramid schemes," "affiliate marketing" "link referral code," "junk mail," "spam," "chain letters," or unsolicited advertisements of a commercial nature.
5. That includes links to commercial services or Third-Party Websites, except as specifically allowed by Happy Selling.

Additionally, you agree not to:

1. contact anyone who has asked not to be contacted or make unsolicited contact with anyone for any commercial purpose, specifically, contact any user to post advertisement on a third-party Website or post any advertisement on behalf of such user; or to "stalk" or otherwise harass anyone.
2. make any libelous or defamatory comments or postings to or against anyone.
3. Furthermore, if you are found to be in non-compliance with the laws and regulations, these terms, or the privacy policy of the Website, we may terminate your account/block your access to the Site and we reserve the right to remove any non-compliant Content uploaded by you.
4. License to Access The Service

Happy Selling grants you a limited, revocable, non-exclusive license to access and use the Service for personal use. Happy Selling reserves all rights in and to the content of any RSS feeds provided through the Service and may terminate any RSS feed at any time without notice.

Notification of Claims of Infringements

Happy Selling is not liable for any infringement of copyright or other intellectual property rights, arising out of materials posted on or transmitted through the Website. If you are an owner of property rights and believe that any Content infringes upon your intellectual property rights, you may submit a notification:

1. a physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
2. identification of the intellectual property rights claimed to have been infringed, or, if multiple intellectual property rights at a single online site are covered by a single notification, a representative list of such works at that site.
3. information reasonably sufficient to permit Happy Selling to contact you, such as an address, telephone number, and, if available, an electronic mail address.

Intellectual Property Rights

You agree to not engage in the use, copying, reproduction or distribution of any of the materials. The Service is protected to the maximum extent permitted by copyright laws.

User Submissions

You understand that when using the Website and mobile applications, you will be exposed to Content from a variety of sources. Happy Selling is not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to such Content. 

Indemnity

You agree to defend, indemnify, and hold harmless Happy Selling, its officers, subsidiaries, affiliates, successors, assigns, directors, officers, agents, service providers, suppliers and employees. This defense and indemnification obligation will survive termination, modification, or expiration of these Terms. 

No Spam Policy

Happy Selling may monitor email usage using human monitors or automated software to flag certain words associated with spam or scams in emails. Unauthorized use of Happy Selling computer systems is a violation of these Terms. 

Dealings With Organizations & Individuals

Happy Selling shall not be liable for your interactions with any organizations and/or individuals on the Website or through the Service. This includes, but is not limited to, payment and delivery of goods and services. If you have a dispute with one or more other users, you hereby release Happy Selling from all claims, demands and damages. 

Limitation & Termination of Service

You acknowledge and agree that Happy Selling may establish limits from time-to-time concerning use of the Service. Happy Selling has no responsibility or liability for the deletion or failure to store any Content maintained or transmitted by the Website or the Service. Happy Selling reserves the right at any time to modify or discontinue the Service (or any part thereof) with or without notice.

Disclaimer of Warranties

Use of the website and the service is at your own risk. Happy Selling does not guarantee any of its products or services. The website is not liable for bugs, viruses or other bugs that may be transmitted to or from the site.

Limitations of Liability

Happy selling is not liable for direct, indirect, incidental, special, consequential, or exemplary damage. Happy selling makes no representations or warranties that the website is appropriate for use in other locations. The website is controlled and offered by happy selling. Those who access or use the website from other jurisdictions do so at their own volition and risk and are responsible for compliance with their local law. 

Assignment

These Terms, and any rights and licenses granted hereunder, must not be transferred, or assigned by you, but may be assigned by Happy Selling without restriction. Any assignment or transfer by you shall be null and void.

Ability to Accept Terms of Service

This Website is intended only for adults, and you are eligible to contract as per applicable laws. Minors, i.e., users of under 18 years of age, are only allowed to access the Website and use the Service, in the event of approval of their legal representatives. If you are under the age of 18, you must be accompanied by your parents or guardian. 

General Information

These Terms and the other policies posted on the Website constitute the complete and exclusive understanding and agreement between you and Happy Selling. Any claim you may have against Happy Selling must be submitted to the exclusive jurisdiction of the courts of Muscat, Oman. These Terms shall inure to the benefit of and be binding upon each party's successors and assigns. 

Violation of Terms & Liquidated Damages

Happy Selling retains the right to seek legal and equitable remedies, including without limitation, specific performance of any term contained in these Terms. Happy Selling does not waive our right to act with respect to subsequent or similar breaches by you or others.
